These Terms of Service ("Terms") govern access to and use of the LUIXER AI Operating System, including the website at https://luixer.ai and the associated application infrastructure (together, the "Services"), provided by LUIXER AI TECHNOLOGIES (FZE), a Free Zone Establishment registered in Sharjah, United Arab Emirates ("LUIXER," "we," "us").
By accessing or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer," "you").
1. The Services
LUIXER provides a multi-tenant AI Operating System that allows organizations to configure and deploy "AI Employees" — AI-driven agents that communicate across voice, WhatsApp, email, and web chat channels — alongside human teams, to support workflows such as lead qualification, appointment booking, follow-ups, and customer support.
2. Accounts
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. Customer Responsibilities
As a Customer, you are responsible for:
- The accuracy of information and instructions provided to configure your AI Employees
- Ensuring you have all necessary rights and consents to have LUIXER process communications and data on your behalf, including consents required under applicable telemarketing, messaging, and data protection laws in the jurisdictions where you operate
- Reviewing AI Employee outputs and configuring appropriate human oversight and escalation for your use case
- Complying with all applicable laws in your use of the Services, including in regulated industries (e.g., healthcare, government, financial services)
4. Acceptable Use
You will not use the Services to:
- Violate any applicable law or third party's rights
- Send unsolicited communications in violation of applicable anti-spam or telemarketing laws
- Deploy AI Employees to impersonate a real person without disclosure where such disclosure is legally required
- Attempt to reverse engineer, disrupt, or gain unauthorized access to the Services or other tenants' data
- Use the Services to generate deceptive, fraudulent, or harmful content
5. AI Employee Disclaimer
AI Employees are AI-driven and may make errors, misunderstand requests, or produce inaccurate summaries, recommendations, or lead scores. AI outputs are provided as decision support, not as guaranteed or professional advice (including legal, medical, financial, or other regulated advice). Customers are responsible for configuring appropriate human review and for any decisions made based on AI Employee outputs. LUIXER does not guarantee that any AI Employee will achieve a particular business outcome.
6. Subscriptions, Fees, and Plans
Access to paid features is governed by the plan selected at signup or in a separate order form/agreement. Fees are billed as described at the time of purchase or in your applicable order form. Except as required by law or expressly stated in your order form, fees are non-refundable.
7. Data Ownership
As between the parties, Customer retains ownership of Customer's data, including data collected through AI Employees, workflow configurations, and knowledge base content ("Customer Data"). LUIXER retains ownership of the underlying platform, software, and any aggregated or de-identified data derived from operating the Services.
8. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and will use it only as necessary to perform under these Terms.
9. Intellectual Property
LUIXER retains all right, title, and interest in and to the Services, including all software, models, designs, and trademarks. These Terms do not grant you any rights to LUIXER's intellectual property except the limited right to use the Services as permitted herein.
10. Termination
Either party may terminate these Terms as set out in an applicable order form, or, absent one, with written notice as described in your account settings. We may suspend or terminate access immediately for material breach, non-payment, or conduct that poses a security or legal risk to LUIXER or other Customers.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUIXER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUIXER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES. LUIXER'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LUIXER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You will indemnify and hold LUIXER harmless from claims arising from your use of the Services in violation of these Terms or applicable law, including claims related to the content of communications sent through your AI Employees or your failure to obtain necessary consents.
14. Governing Law and Disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of laws principles, and subject to the jurisdiction applicable to entities registered in the Sharjah Research, Technology and Innovation Park free zone. 15. Changes to These Terms
